If you are lucky enough to deal with investors for your first round it is always helpful to know what all the Venture Terms mean.

Brad Feld has a series of entries that help a lot.

- Drag-Along Agreement- Liquidation PreferenceBut even better is to have example documents to understand the term sheet better and also support your lawyer in the negotiations for your prospective investors.

All you have to do is to tweak your Google search a bit and set your search preference to filetype:pdf and/or word documents and then use one of the clauses learned from Brad Feld:

This is what my search yielded for 'Drag Along' and 'Take Along':

A) A pretty good term sheet example for an Australian company

B) The Columbia Law School contributes a pretty realistic case study for a fantasy firm

C) celtic House Venture Partners was so nice to contribute this 1:1 realistic term sheetSo you are one stop away to your 'Do-it-yourself Venture Kit'. For a complete 'repository' also check here.

Two more links that came in thsi search and are too good to be forgotten:

- an MIT Entrepreneurial Finance open course ware document with hints how to finance your startup

- a presentation from Sweden based Yavor Adel about 'How and when to attract venture capital'
